Section 01
By accessing and using the Function Labs Partner Services website (the Site) and submitting a project enquiry, you accept and agree to be bound by these terms and conditions (the Terms). If you do not agree to any part of these Terms, please do not use our Site or submit a project enquiry.
Function Labs, we, us, or our refers to the operator of this Site. You, your, or client refers to any individual or organisation that visits the Site or submits a project enquiry. Services refers to the app audit, review, fix, improvement, launch support, and advisory services we provide. Base44 refers to the platform on which your application is built; we are an independent provider and are not affiliated with or endorsed by Base44.
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment. Prohibited behaviour includes harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content, or attempting to gain unauthorised access to any part of the Site.
By submitting a project enquiry, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are submitting an enquiry on behalf of an organisation, you confirm that you have the authority to bind that organisation.
Section 02
Function Labs provides app audit, review, bug fixing, improvement, launch support, and migration advisory services for Base44 applications. Submitting a project enquiry does not constitute a binding agreement or guarantee that we will take on your project. Any engagement beyond the initial enquiry is subject to a separate written agreement.
When you submit a project enquiry, you agree to provide accurate and complete information. You are responsible for ensuring you have the right to share any information, files, or links provided, including any proprietary or confidential materials related to your app. We reserve the right to decline an enquiry at our discretion.
Payment is normally required upfront for fixed review work or before booked support begins. For larger projects, payment is typically split into agreed milestones. Specific pricing for each service is outlined on our pricing page. We reserve the right to adjust pricing for services not explicitly listed and to provide custom quotes where appropriate. All prices are in GBP unless otherwise stated and are exclusive of VAT where applicable.
Hourly support is booked in minimum increments of 6 hours at £75 per hour (£450 minimum booking) and must be paid for before work begins. Additional work beyond the initial booking is invoiced separately in £75 increments. Unused hours are non-refundable but may be carried forward at our discretion for up to 90 days from the booking date.
For fixed project work, payment is normally 50% upfront and 50% upon completion. Project scope, deliverables, and timelines are agreed in writing before work begins. Any changes to the agreed scope may result in adjusted pricing and timelines, which will be communicated and agreed before additional work is carried out.
Commercial launch support packages are quoted individually based on the scope of work required. Payment is 50% upfront and 50% due on completion, unless otherwise agreed in writing. The minimum engagement for commercial launch support is £4,000.
Invoices are issued electronically and are due within 7 days unless otherwise agreed. Late payments may incur interest at the statutory rate. We reserve the right to suspend or withhold services until outstanding invoices are settled.
If you cancel a booked engagement, any work already carried out will be charged at the applicable rate. For hourly support, cancellations made less than 48 hours before the scheduled start may be charged at 50% of the booked hours. Fixed project deposits (the 50% upfront payment) are non-refundable once work has commenced, reflecting the time and resources already allocated. Refunds for work not yet started are at our discretion.
Section 03
You retain all intellectual property rights in your application, code, content, and data. We retain rights to any tools, frameworks, methodologies, or templates we develop independently or that pre-exist your engagement. Any work created specifically for your project is transferred to you in full upon receipt of full payment. Until full payment is received, we retain a lien over all deliverables.
We treat all information shared through project enquiries and ongoing engagements as confidential. We will not disclose your proprietary information to third parties without your consent, except where required by law. This obligation survives the termination of any engagement. You agree to afford the same confidentiality to any information we share with you, including pricing, methodologies, and internal processes.
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR and Data Protection Act 2018. You are responsible for ensuring that any personal data you share with us (for example, data about your app users) has been collected and is shared in compliance with applicable data protection legislation.
You agree to provide timely access to information, systems, and personnel as reasonably required for us to deliver the agreed services. You are responsible for the accuracy of all information and materials you provide and for maintaining the security of your own accounts, credentials, and systems. Delays caused by your failure to provide required information may result in adjusted timelines.
Our services may involve or recommend third-party tools, platforms, and services (including Base44, Stripe, RevenueCat, Apple App Store, and Google Play). We are not responsible for the availability, performance, or actions of these third parties. You are responsible for complying with the terms and policies of any third-party services you use.
Section 04
We provide our services with reasonable skill and care. To the fullest extent permitted by law, all other warranties, representations, and conditions (whether express or implied) are excluded. We do not warrant that the Site will be uninterrupted, error-free, or free from harmful components, or that any issues identified during a review will be fully resolvable.
While we strive to provide high-quality services, we cannot guarantee specific outcomes such as App Store or Google Play approval, revenue generation, user growth, or resolution of all issues. Recommendations and reviews are provided in good faith based on the information available at the time and do not constitute legal, financial, or tax advice.
Function Labs is not liable for any indirect, incidental, special, or consequential damages arising from the use of our services or Site, including loss of profits, revenue, data, or business opportunities. Our total aggregate liability for any claim arising from our services is limited to the amount paid by you for the specific service giving rise to the claim, or £295, whichever is greater. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
You agree to indemnify and hold harmless Function Labs from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or any content or materials you provide that infringe the rights of a third party.
We are not liable for any failure or delay in performing our obligations where the failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, internet or infrastructure failures, strikes, pandemics, or actions by government or third-party platforms.
You agree not to misuse the Site or Services, including attempting to reverse engineer, disrupt, or compromise the security of any system, submitting enquiries with malicious or fraudulent intent, or using the Site to transmit viruses, malware, or harmful code. We reserve the right to restrict or terminate access for any breach of these Terms.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising in connection with these Terms is subject to the exclusive jurisdiction of the courts of England and Wales, without regard to conflict of law principles.
We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our Site or services after changes constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or sub-contract our obligations to third parties, provided that we remain responsible for their performance in accordance with these Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy and any separate written agreement, constitute the entire agreement between you and Function Labs regarding the use of the Site and Services.
If you have any questions about these Terms and Conditions, please contact us through the enquiry form on our website or via our contact page.
